  1. Introduction
    Welcome to Careocity Inc. This Policies and Procedures Manual establishes legally compliant standards, expectations, and operational procedures governing the use of Careocity’s services by Care Recipients/Clients and Care Ambassadors (Caregivers). Our mission is to empower individuals with compassionate, high-quality care while maintaining compliance with regulatory standards and providing opportunities for Care Ambassadors to thrive professionally.

  1. Scope of Policy
    This document applies to all individuals who register and utilize the Careocity platform, including:
    • Care Recipients/Clients/Decision Makers
    • Care Ambassadors (Caregivers)
    • All individuals who register and utilize the Careocity platform must comply with the laws and regulations of their respective jurisdictions. Careocity Inc. may implement region-specific policies, procedures, and requirements to ensure compliance with local legal and regulatory frameworks.
    All users are bound by these policies, irrespective of their jurisdiction, to the extent permitted by applicable laws.

  1. Code of Conduct
    Careocity expects all users of its platform to uphold the highest standards of professionalism, safety, respect, and dignity.
    Care Recipients/Clients must:
    • Treat Care Ambassadors with respect and dignity.
    • Communicate clearly and honestly about care needs, expectations, and limitations.
    • Provide a legally compliant, safe, and healthy working environment.
    • Avoid any form of discriminatory, abusive, or inappropriate behavior, including harassment, violence, or threats.
    Care Ambassadors must:
    • Deliver high-quality care in accordance with agreed care plans and professional standards.
    • Respect privacy, confidentiality, cultural values and applicable data protection regulations.
    • Arrive on time and perform duties as scheduled.
    • Refrain from smoking, using substances, or engaging in behavior deemed unprofessional or unsafe while on duty.

  1. Non-Employment Relationship
    Careocity is a technology platform that connects Clients and Care Ambassadors. Care Ambassadors are classified as independent contractors and not employees, agents, or representatives of Careocity Inc. As such:
    • Careocity does not oversee, or control day-to-day work performed by Care Ambassadors.
    • Clients and Care Ambassadors enter into service agreements at their own discretion, subject to applicable laws and regulations.
    • Careocity is not responsible for employment benefits, tax withholdings, or direct supervision of care services.

  1. Service Agreements
    All care arrangements must be facilitated through the Careocity platform, which acts solely as a technology provider and tool to enable these arrangements. Careocity Inc. is not a party to, nor directly involved in, any agreements established between Clients and Care Ambassadors. This includes:
    • Hourly rates
    • Scope of duties
    • Work schedules
    • Special accommodation(s)
    Careocity Inc.’s role is limited to providing tools that support these arrangements, such as communication features, scheduling systems, and payment processing. Careocity does not intervene or oversee service terms, except in cases where a dispute arises, and mediation tools are utilized at Careocity’s sole discretion.

  1. Payments and Fees
    Careocity facilitates secure payment processing. Clients will be billed via the platform. Care Ambassadors receive payments electronically, after applicable platform fees and charges are deducted.
    Both parties are responsible for reviewing:
    • Invoices
    • Hourly logs
    • Payout reports
    Failure to resolve late payments, chargebacks, or other billing disputes in a timely manner may result in account suspension or termination.

  1. Disclaimers
    Careocity provides its services “as is” and “as available.” To the extent permitted by law, Careocity Inc. disclaims:
    • Responsibility for the accuracy, reliability, or quality of care provided by Care Ambassadors.
    • That the platform will be free from interruptions, errors, or technical defects.
    • Liability for the outcomes, effectiveness, or suitability of care services provided by Care Ambassadors.
    • Non-Infringement: Careocity Inc. does not guarantee that the platform, services, or any features provided are free from claims of intellectual property infringement. Users are responsible for ensuring their activities, content, or use of the platform comply with applicable intellectual property laws. Careocity Inc. disclaims liability for any claims arising from third-party intellectual property rights.

  1. Limitation of Liability
    Careocity shall not be liable for:
    • Any indirect, incidental, punitive, special, or consequential damages, including but not limited to loss of profits, data, or property.
    • Disputes, damages, injuries, or other liabilities arising from interactions between Clients and Care Ambassadors.
    • Delays, accidents, or injuries resulting from care services.
    Users acknowledge and accept full risk associated with using the platform, to the maximum extent permitted by applicable laws.

  1. Indemnity
    Users agree to indemnify and hold harmless Careocity Inc., its affiliates, directors, officers, and staff from any claims, losses, liabilities, or expenses arising from:
    • Unauthorized access, misuse, or abuse of the platform;
    • Violations of these policies;
    • Disputes with third parties.

  1. Dispute Resolution
    Careocity encourages Users to resolve disputes in good faith. If resolution cannot be achieved, Careocity may:
    • Offer mediation tools.
    • Suspend accounts pending investigation.
    • Enforce mandatory arbitration agreements, subject to applicable laws.
    • Involve legal or regulatory authorities if necessary.

  1. Choice of Law and Forum
    These policies are governed by the laws of the state in which a dispute arises. Disputes shall be subject to the exclusive jurisdiction of the state or federal courts located within that state, unless otherwise stated in an arbitration agreement.
    Regional Compliance: Careocity Inc. operates in multiple jurisdictions and requires all users to comply with the laws and regulations applicable in their respective regions. Where regional laws conflict with these policies, the applicable local laws shall govern to the extent required by law.
    Platform Adjustments: Careocity Inc. reserves the right to modify its platform features, policies, and practices to comply with specific regional legal requirements, including privacy, data protection, anti-discrimination, and employment regulations.

  1. Privacy Policy
    Users agree to the collection and use of their personal data in accordance with our Privacy Policy, which complies with applicable privacy laws and ensures data protection, confidentiality, and transparency.

  1. Policy Updates and Notices
    Careocity may update this Policy and Procedures document periodically. Reasonable notice will be provided via:
    • Email
    • Platform notifications
    • Posting updated documents online

  1. Severability
    If any provision of this Policy is found unenforceable, the provision shall be modified to the minimum extent required for enforceability under applicable laws, and the remaining provisions will remain in full effect.

Acknowledgment and Agreement
By using the Careocity platform, Clients and Care Ambassadors expressly acknowledge and agree that they have read, understood, and will comply with these Policies and Procedures. Failure to comply with these policies may result in account suspension, termination, or legal action.
